These Terms of Service ("Terms") govern your use of Aureon's website and, where applicable, Aureon's laboratory and related services. By accessing our website or engaging our services, you agree to these Terms.

1. Definitions
- Services: laboratory testing, analysis, reporting, consulting, and related work.
- Client / you: the organisation or individual using the website or purchasing Services.
- Deliverables: reports, data outputs, results, or other items provided as part of Services.
- Order: a purchase order, SOW, quote acceptance, or other written agreement.
2. Website use
You must not attempt unauthorised access, introduce malware, scrape data without permission, or use the site to transmit unlawful content. We may suspend or block access for misuse.
3. Service engagement and scope
Services are provided according to an agreed quote/SOW and applicable sample submission requirements. If there is a conflict between these Terms and a signed SOW/master agreement, the signed agreement controls.
4. Orders, changes, and cancellations
Orders become binding when accepted by Aureon in writing. Changes to scope may require a written change order. You may be charged for work performed and non-cancellable costs incurred up to a cancellation date.
5. Sample submission and compliance
By submitting samples, you represent that you have legal authority to provide them, they are correctly labelled with accurate documentation, comply with all applicable laws, and known hazards have been disclosed. Aureon may refuse, quarantine, or dispose of non-compliant or unsafe samples.
6. Turnaround times
Any turnaround times are estimates unless explicitly guaranteed in writing. Delays may occur due to sample quality, instrument availability, or events outside Aureon's reasonable control.
7. Fees, invoicing, and payment
Fees are as stated in the quote/SOW, excluding VAT unless stated otherwise. Late payments may accrue interest and/or reasonable collection costs. You are responsible for any bank fees or currency conversion charges.
8. Intellectual property
Aureon retains ownership of its pre-existing know-how, methods, and protocols. You retain ownership of your samples and pre-existing data. Unless otherwise stated in the SOW, you receive a licence to use Deliverables internally for your business/research purposes.
9. Confidentiality
Both parties agree to use confidential information only to perform or receive Services, restrict access to personnel with a need to know, and protect it using reasonable safeguards.
10. Data protection
Personal data is handled according to Aureon's Privacy Policy and, where applicable, a data processing agreement forming part of the SOW/master agreement.
11. No medical or clinical advice
Unless explicitly stated in a signed agreement, Aureon's Deliverables are for research, informational, and/or quality purposes and are not medical advice, diagnosis, or treatment guidance.
12. Warranties and disclaimers
Aureon will perform Services with reasonable care and skill. Except as expressly stated, Aureon disclaims all other warranties to the maximum extent permitted by law.
13. Limitation of liability
Nothing limits liability for death or personal injury caused by negligence or fraud. Subject to this, Aureon is not liable for indirect or consequential damages. Aureon's total liability is limited to the fees paid for the specific Services giving rise to the claim, unless a different cap is stated in the SOW.
14. Indemnity
You agree to indemnify Aureon from claims arising from your breach of these Terms, illegal or unsafe sample submissions, or misrepresentations about sample ownership or hazards.
15. Suspension and termination
We may suspend Services or terminate access if you breach these Terms, fail to pay undisputed invoices, or submit unsafe/non-compliant materials. Upon termination, you must pay amounts due for Services performed.
